These Terms of Use ("Terms") govern your access to and use of websites owned or operated by Castor Labs AI LLC d/b/a Castor Loop ("Castor Loop," "we," "us," or "our"), including the Castor Loop website and related publicly accessible webpages (collectively, the "Site").
By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to use the Site.
If you use the Site on behalf of a business or other organization, you represent that you have authority to act on its behalf.
2. Subscription Services
These Terms primarily govern use of the public Site.
Your purchase of, subscription to, or use of the Castor Loop loyalty platform, managed loyalty services, and related paid services ("Services") is governed by our Subscription Agreement, together with any applicable order, proposal, invoice, or separately executed written agreement.
If there is a conflict between these Terms and the Subscription Agreement regarding paid Services, the Subscription Agreement controls.
3. Site Content and Intellectual Property
The Site and its content, including text, graphics, designs, logos, icons, images, videos, software, interfaces, layouts, documentation, trademarks, service marks, and other materials ("Content"), are owned by or licensed to Castor Loop and are protected by applicable intellectual property laws.
Subject to these Terms, Castor Loop grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for lawful personal or internal business purposes.
Except as expressly permitted by us or applicable law, you may not reproduce, modify, distribute, sell, license, publicly display, create derivative works from, or otherwise commercially exploit our Content.
Nothing in these Terms transfers ownership of Castor Loop's intellectual property to you.
4. Trademarks
Castor Loop, Castor Labs AI, associated logos, and other marks displayed on the Site may be trademarks or service marks of Castor Labs AI LLC or their respective owners.
You may not use our trademarks, branding, logos, or confusingly similar marks without our prior written permission.
5. Permitted Use
You agree to use the Site only for lawful purposes.
You may not use the Site to interfere with its operation or security, gain unauthorized access to systems or accounts, introduce malicious code, scrape or systematically extract Site content without authorization, impersonate another person or organization, engage in fraudulent or deceptive conduct, violate intellectual property or privacy rights, or otherwise violate applicable law.
You may not attempt to circumvent security features, access restrictions, or technical limitations associated with the Site.
6. Third-Party Services and Links
The Site may contain links to or integrations with third-party websites, applications, platforms, or services.
Third-party services are operated independently from Castor Loop and may be subject to their own terms and privacy policies.
We do not control and are not responsible for the availability, security, content, accuracy, policies, or practices of third-party services.
A link to a third-party service does not necessarily constitute our endorsement of that service.
7. Privacy
Our collection and use of personal information are described in our Privacy Policy, which is incorporated into these Terms by reference where applicable.

8. SMS Messaging Terms
Castor Loop, a DBA of Castor Labs AI LLC, offers SMS messaging to prospects and customers who voluntarily provide their mobile phone number and provide the applicable consent to receive text messages from us.
SMS Program Description
Depending on the consent you provide, Castor Loop may send SMS messages regarding appointment and demo confirmations and reminders, responses to general inquiries, requested information, account and service updates, follow-up communications, and other non-promotional communications related to your interactions with Castor Loop.
Users may separately and optionally consent to receive marketing and promotional SMS messages from Castor Loop, which may include special offers, promotions, service or product announcements, and other marketing communications.
Consent to receive non-promotional SMS messages does not constitute consent to receive promotional or marketing SMS messages. Promotional and marketing messages are sent only to users who separately provide consent to receive those communications.
How Users Opt In
Users may opt in through the contact form available on the Castor Loop website at https://castorloop.com.
Users voluntarily provide their mobile phone number and actively select one or both separate, unchecked SMS consent checkboxes.
One checkbox provides consent to receive non-promotional SMS messages from Castor Loop, a DBA of Castor Labs AI LLC, including appointment and demo confirmations and reminders, responses to inquiries, requested information, account and service updates, and follow-up communications.
A separate checkbox provides consent to receive marketing and promotional SMS messages from Castor Loop, a DBA of Castor Labs AI LLC.
Neither checkbox is pre-selected. SMS consent is not required to submit the form or purchase goods or services.
Message Frequency and Charges
Message frequency varies depending on your interactions with Castor Loop, the services you use, and the communications you have consented to receive.
Message and data rates may apply to messages sent to you from Castor Loop and messages you send to Castor Loop.
For questions regarding your text messaging or data plan, contact your wireless carrier.
Opt-Out Instructions
You may cancel SMS communications at any time by replying STOP to the number from which you received the message.
After you reply STOP, we may send a final confirmation message confirming that you have been unsubscribed. Following this confirmation, you will no longer receive SMS messages covered by your opt-out unless you subsequently provide consent or otherwise re-subscribe.
If you wish to receive SMS messages again after opting out, you may opt in again through an available Castor Loop consent method.

Carrier Liability
Wireless carriers are not liable for delayed or undelivered messages.
SMS availability and delivery are subject to your wireless carrier's network, services, policies, and other factors outside Castor Loop's control.
Age Restriction
You must be at least 18 years oldto participate in our SMS messaging program.
SMS Privacy
Your participation in our SMS messaging program is subject to our Privacy Policy.
No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.
Information may be shared with service providers that facilitate our communications and SMS services, including telecommunications providers, messaging platforms, aggregators, and other service providers acting on our behalf as necessary to provide those services.
All other information-sharing categories exclude text messaging originator opt-in data and consent. SMS opt-in information and consent will not be shared with third parties or affiliates for their own marketing or promotional purposes.

9. Informational and Marketing Content
Information presented on the Site is provided for general informational and marketing purposes.
Any examples, statistics, projections, case studies, estimates, testimonials, or descriptions of potential results are not guarantees that you or your business will achieve the same results.
Business performance depends on numerous factors outside Castor Loop's control.
10. No Professional Advice
Nothing on the Site constitutes legal, tax, accounting, financial, regulatory, or other professional advice.
You are responsible for obtaining appropriate professional advice concerning your business and your use of loyalty programs, promotions, marketing communications, customer information, or other features discussed on the Site.
11. Site Availability
We may modify, suspend, restrict, or discontinue any portion of the Site at any time.
Although we seek to maintain a reliable Site, we do not guarantee that the Site will always be available, uninterrupted, secure, or error-free.
12. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
CASTOR LOOP DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE FROM HARMFUL COMPONENTS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CASTOR LABS AI LLC AND ITS AFFILIATES, OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE.
THIS INCLUDES, WITHOUT LIMITATION, LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CASTOR LABS AI LLC'S AGGREGATE LIABILITY ARISING SOLELY FROM YOUR USE OF THE PUBLIC SITE WILL NOT EXCEED TWO HUNDRED U.S. DOLLARS ($200).
The foregoing limitations do not apply where liability cannot legally be limited or excluded.
Liability relating to paid Services is governed by the Subscription Agreement rather than this Section.
14. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless Castor Labs AI LLC and its affiliates, owners, officers, employees, contractors, and agents from third-party claims, liabilities, damages, and reasonable costs arising from your unlawful use of the Site, violation of these Terms, or infringement of another person's rights.
15. Electronic Communications
When you communicate with Castor Loop electronically, you consent to receive administrative and transactional communications from us electronically where permitted by law.
Electronic notices may satisfy legal requirements that communications be provided in writing to the extent permitted by applicable law.
For clarity, this Section does not by itself constitute consent to receive SMS marketing or promotional communications. SMS communications are subject to the consent choices and opt-out rights described in Section 8.
16. Changes to These Terms
We may update these Terms from time to time.
When we do, we will revise the "Last Updated" date above.
Material changes will apply prospectively as required by applicable law.
Your continued use of the Site after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
17. Governing Law and Venue
These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles.
To the extent permitted by applicable law, any legal action arising out of or relating to these Terms or the Site shall be brought in the state or federal courts located in New Jersey, and the parties consent to the jurisdiction of those courts.
18. Miscellaneous
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect.
Our failure to enforce a provision does not waive our right to enforce it later.
These Terms do not create a partnership, joint venture, employment, agency, or franchise relationship between you and Castor Loop.
